About the Role
Hire Resolve’s Client is seeking a skilled Company Secretary to join their dynamic team in Cape Town. This role is crucial for the organisation to maintain its corporate governance standards and ensure compliance with regulatory frameworks. You will work closely with the Board of Directors, providing expert advice on governance matters and handling secretarial responsibilities.
Key Responsibilities
- Overseeing that all company returns are filed with CIPC
- Reviewing all amendments to, or regulations issued under, the Companies Act and taking responsibility for the implementation thereof
- Maintaining strong knowledge of corporate governance regulations
- Liaising with external service providers on all amendments to company documents (i.e. director appointments/resignations, amendments to MOI, etc.)
- Focusing on group structures and compliance with applicable companies acts (in UK and in SA)
- Ensuring compliance with King Code and other corporate governance best practices
- Arranging annual (or bi-annual, where applicable) board meetings and shareholders meetings, preparing meeting packs and ensuring minutes are kept, documented and filed
- Maintaining detail-oriented skills with strong organizational abilities
- Working independently and managing multiple tasks
- Ensuring proficiency in legal compliance and regulatory filings
Requirements
- Bachelor’s degree in Law, Business Administration, or a related field
- Proven experience as a Company Secretary or in a similar role
- Overseeing that all company returns are filed with CIPC
- Reviewing all amendments to, or regulations issued under, the Companies Act and taking responsibility for the implementation thereof
- Strong knowledge of corporate governance regulations
- Excellent written and verbal communication skills
- Liaising with external service providers on all amendments to company documents (i.e. director appointments/resignations, amendments to MOI, etc.)
- Focusing on group structures and compliance with applicable companies acts (in UK and in SA)
- Ensuring compliance with King Code and other corporate governance best practices
- Ability to work independently and manage multiple tasks

Salary & Benefits
