About the Role

Lexdan Select is seeking a skilled Legal Counsel to join our team in Gauteng. The focus of the work is transactional, and we are therefore searching for a candidate with banking & finance experience at a law firm, or as in-house legal at a Bank.

Key Responsibilities

Assisting with drafting and reviewing term sheets, funding agreements, security agreements, intercreditor agreements, and shareholder agreements
Assist with equity and debt fundraising
Drafting all necessary internal resolutions (boards, shareholders, etc.) and external approvals to ensure all necessary approvals from both internal and external stakeholders
Taking responsibility for transaction closing management of high-value lending and financing transactions
Reviewing compliance with undertakings and conditions in funding agreements
Supporting due diligence processes and legal documentation for significant corporate transactions
Assisting with corporate governance matters, including board meetings, shareholder agreements, and corporate filings

Requirements

LLB degree
Minimum 3 years post articles experience
Experience within a Banking team at a firm, or as in-house counsel at a Bank
Experience in Finance transactions

Qualifications

Completed LLB Degree
