Key

Responsibilities:

• Regulatory Compliance
  • Ensure the company adheres to the JSE Listings Requirements.
  • Advise executives on corporate actions, such as share issues, acquisitions, or mergers, to ensure compliance with regulatory standards.
• Advisory on Corporate Actions
  • Assist with drafting and reviewing circulars, prospectuses, and other formal documents submitted to the JSE or shareholders.
  • Provide guidance on major transactions, including their categorization (e.g., related party transactions or significant acquisitions).
• Corporate Governance
  • Guide executives on best practices to uphold corporate governance in line with JSE and King IV requirements.
  • Ensure timely and transparent disclosure of price-sensitive or material information to the market.
• Liaison with the JSE
  • Act as the primary point of contact between the listed company and the JSE.
• Transaction Structuring 
  • Provide expertise in structuring capital-raising initiatives such as rights offers, private placements, and bond issuances.
  • Advise on the financial and strategic implications of transactions.
• Market Announcements
  • Oversee the drafting and publication of regulatory announcements, including cautionary statements, trading updates, or results announcements.
• Support for Listings
  • Assist with initial listings (IPOs) and secondary listings by preparing listing documentation, ensuring regulatory compliance, and liaising with the JSE throughout the process.
• Monitoring and Reporting Obligations
  • Ensure the company fulfills ongoing obligations.

Qualifications: 

• Diploma/Bachelors in Law/Finance/Accounting/Economics/Related
• SDP Certificate
