Job Description
- Manage all company secretarial duties in line with applicable legislation and governance standards.
- Oversee the conversion and deregistration processes for Close Corporations and Companies.
- Coordinate appointments and resignations of Directors, Members, Auditors, Accounting Officers, and Public Officers.
- Facilitate share allotments, transfers, and buy-backs.
- Draft and prepare special resolutions, board minutes, and formal notices.
- File annual returns and maintain Beneficial Ownership records in compliance with regulations.
- Prepare and submit statutory documentation to the CIPC and follow up on outstanding matters.
- Maintain and update statutory registers, minute books, and electronic company records for all entities.
- Manage a portfolio of clients, ensuring high-quality service delivery and compliance.
- Prepare shareholders’ resolutions and meeting minutes in accordance with governance standards.
- Liaise with clients, shareholders, beneficiaries, auditors, and other stakeholders
Requirements:
- Relevant Diploma/ degree in the Legal Sector
- 7 + Years of relevant experience in a similar role
