Job Summary
Hire Resolve’s client, a leading mining company, is currently seeking a skilled General Manager (Legal, Compliance & Company Secretary) to join their team based in Gauteng.
Requirements:
– Bachelor of Law Degree (LLB)
– Must be an admitted Attorney in the High Court of SA
– 8 to 10 years experience across strategic and senior management
functions.
– At least 5 years experience in Compliance Risk Management and Company Secretarial Practice within a corporate legal department in the mining industry or a reputable law firm.
– Experience working in fast-paced environment
– Member of the South African law society / professional institute
– Certifications in corporate governance or company secretarial practices (Advantageous)
Duties and Responsibilities:
– Develop and implement the KMR Corporate Compliance Programme.
– Develop and implement the KMR Corporate Risk Register.
– Reports to the CEO and Board of Directors regularly to review progress on programme implementation and establish improvement plans.
– Ensures adherence to local and international laws and regulatory requirements.
– Provide legal advice to the business including new and upcoming projects.
– Review and draft agreements and contracts, negotiate terms, ensure legal compliance, and regularly update standard documents/forms to meet regulations
– Ensures and monitors compliance with local and international laws / standards about market abuse, conflicts of interest, market conduct, and employee compliance.
– Encourages staff to report suspected fraud or impropriety without fear of retaliation.
– Perform secretarial duties for various committees, board and shareholder meetings (eg compile and circulate notices, agendas and meeting papers for various committees, draft and file minutes etc).
