Job Summary
Sagen Advisory is recruiting on behalf of our client, a medium-sized audit, accounting, and advisory firm based in Somerset West, Western Cape.
They are seeking a qualified Company Secretarial Administrator to join their team.
This role provides essential administrative and statutory support for company secretarial duties, ensuring compliance with the Companies Act of South Africa and other relevant legislation. The successful candidate will support a diverse client base, from private companies to trusts and non-profits, with company formation, CIPC filings, and ongoing corporate governance compliance.
Key Responsibilities:
- Prepare and submit statutory returns to the Companies and Intellectual Property Commission (CIPC), including annual returns, director changes, share transfers, and company registrations.
- Maintain and update company registers and statutory records (manual and electronic).
- Draft company resolutions, minutes, and other governance documents.
- Assist with the incorporation of companies, name reservations, and amendments to Memoranda of Incorporation (MOIs).
- Ensure client companies comply with the Companies Act 71 of 2008, CIPC requirements, and internal governance best practices.
- Provide administrative support during Board and Shareholder meetings, including scheduling, preparation of meeting packs, and minute-taking (if required).
- Liaise with clients, CIPC, SARS, and other regulatory bodies.
- Compile and submit Beneficial Owners reports to CIPC.
- Process disbursements on GreatSoft.
- Support auditing teams by providing the statutory documents required during audits.
- Maintain accurate digital and physical filing systems for all client statutory documentation.
Qualifications and Experience:
- Matric Certificate (required)
- Certificate or Diploma in Corporate Governance, Company Secretarial Practice, or Business Administration (advantageous)
- Minimum 23 years of experience in a similar Company Secretarial role, preferably within an auditing or professional services environment.
- Experience working with CIPC e-services and knowledge of related online platforms.
- Familiarity with the Companies Act, Trust Property Control Act, and SARS requirements.

- Proficient in MS Office Suite and secretarial software (preferably GreatSoft).
Location: Somerset West, Western Cape
Salary R20 000 R30 000 p/m depending on qualifications and experience.
