Job Summary

Non- negotiable qualifications and experience required:
- Degree in Law (LLB) or Corporate Governance qualification.
- 5+ years of experience as a Company Secretary in a legal or corporate environment.
Beneficial requirements:
- CIS (Chartered Secretary) certification or equivalent is advantageous.
- Strong knowledge of company law, corporate governance, and regulatory compliance.
- Excellent attention to detail, organizational, and communication skills.
- Ability to work with confidential information and high-level stakeholders.
- Own vehicle and Drivers license.
Duties and responsibilities:
The successful candidate will be responsible for ensuring corporate governance compliance, maintaining statutory records, and providing legal and regulatory guidance to the board and senior management.
- Ensure compliance with corporate governance regulations, the Companies Act, and other relevant legislation.
- Maintain and update statutory records, registers, and filings with regulatory bodies.
- Prepare and distribute board and committee agendas, minutes, and resolutions.
- Advise the board and management on legal and regulatory requirements.
- Liaise with external stakeholders, including auditors, legal advisors, and regulatory authorities.
- Assist with contract review, legal documentation, and risk management.
- Ensure adherence to corporate policies, ethics, and best practices.
