Job Summary
Position: Company Secretary Administrator / Corporate Governance Officer
Location: Centurion
Overview:
An established firm in Centurion seeks a meticulous and experienced Company Secretary Administrator to manage corporate governance and compliance duties for a diverse client portfolio.
The role demands strong organisational skills and an eye for detail, with responsibilities spanning statutory compliance, company registrations, and corporate amendments.
Key Responsibilities:

Handle all company secretarial responsibilities in compliance with relevant legislation and best practices

Manage the conversion and/or deregistration processes for Close Corporations and Companies
-
Coordinate the appointment and resignation of Directors, Members, Auditors, Accounting Officers, and Public Officers
-
Facilitate the allotment, transfer, and buy-back of company shares
-
Draft and prepare special resolutions, board minutes, and formal notices
-
Submit annual returns and maintain Beneficial Ownership records in accordance with regulatory requirements
-
File and follow up on outstanding statutory documentation with regulatory authorities
-
Assist in managing a portfolio of company secretarial clients, ensuring service excellence and maintaining strong client relationships
-
Prepare shareholders’ resolutions and meeting minutes in compliance with company governance standards
-
Act as a liaison between clients and relevant parties such as shareholders, beneficiaries, and auditors
-
Prepare and file statutory forms with the Companies and Intellectual Property Commission (CIPC)
-
Maintain and update statutory registers and company minute books accurately and timely
-
Ensure electronic company registers and statutory records are current and properly maintained for all entities
