Hire Resolve is excited to announce a vacancy for the position of Company Secretary. In this prominent role, you will be an integral part of our client’s governance framework, ensuring compliance with all statutory regulations and corporate governance practices. You will liaise closely with the Board of Directors and senior management to provide strategic input, organize meetings, prepare agendas, and maintain meticulous records.
Your responsibilities will include the management of legal filings, compliance audits, and the facilitation of effective communication between stakeholders. We seek a proactive and detail-oriented professional with a strong understanding of corporate law and governance.

Requirements:

  • Bachelor’s degree in Law, Business Administration, or a related field
  • Minimum of 5 years of experience as a Company Secretary or in a similar capacity
  • Thorough understanding of corporate governance regulations and compliance frameworks
  • Proficient in handling board meeting logistics, including preparation of agendas and meeting minutes
  • Exceptional organizational and time management skills
  • Excellent written and verbal communication abilities
  • Ability to work independently while fostering positive relationships with stakeholders
  • Proficiency in legal compliance, regulatory filings, and corporate governance best practices

Job Description

Hire Resolve’s Client in the Investments Industry is seeking a dedicated full-time Company Secretary to join their team in Bellville, WC.

Responsibilities:

– Act as the primary point of contact for the board of directors, shareholders, and regulatory authorities
– Ensure compliance with all applicable laws and regulations governing the company’s operations
– Prepare and maintain corporate records, including meeting minutes, resolutions, and other legal documents
– Assist in the preparation of annual reports, financial statements, and other corporate filings
– Manage and facilitate communication between the board of directors, senior management, and external stakeholders
– Coordinate and organize board meetings, shareholder meetings, and other corporate events
– Stay informed about changes in regulations and laws that may affect the company’s operations and advise senior management on compliance issues
– Handle any legal or regulatory issues that may arise, including contract negotiations, disputes with external parties, and intellectual property matters

Requirements:
Must have an appropriate degree.
A legal degree will be advantageous.
Ideal experience:
3-5 years of experience in related role;
Must have a good understanding of the Companies Act.
