About the Role
We are seeking an experienced and skilled Company Secretary with a strong understanding of corporate law, governance, and insurance regulations to join our team in Johannesburg. As a key member of our organization, you will be responsible for providing expert advice on company secretarial matters, ensuring compliance with regulatory requirements, and driving corporate governance best practices.
Key Responsibilities
- Assumes and oversees the full end-to-end Company Secretary function within the business, partnering with the external service provider to fulfil various functions.
- Collates information for various boards, forums, and group committee meeting packs.
- Drafts agendas, in consultation with chairperson/s and liaises with Directors/Committee members.
- Provides input into board/meeting agendas and meeting packs to ensure compliance with statutory and corporate governance prerequisites.
- Prepares board packs and distributes to members and invitees.
- Attends meetings and takes accurate and professional minutes.
- Drafts minutes for vetting by Chairperson.
- Assists with the preparation of reports/presentations for certain committees/engagements e.g. regulatory, EXCO.
- Checks Draft and executes board of directors/shareholders/committee resolutions.
- Checks and maintains all company secretarial records in-house (manual and electronic) and with CIPC.
- Ensures that all companies comply with the Companies Act, governance principles, various applicable legislation.
- Attends to committee evaluations and fit-and-proper declarations.
Requirements
- LLB degree or similar
- CGISA qualification
- Sound knowledge and understanding of corporate law and corporate governance
- 3-5 years experience as a Company Secretary
- 2 years as a legal advisor or similar
- Charter Secretaries Institute certification essential requirement
- Minimum three years experience in efficient minute-taking
- Legal experience
