Job Description
Our client, a prominent name in the Accounting / Auditing and Advisory Services Industry, is seeking a motivated and detail-oriented Company Secretarial and Legal Consultant to join its professional services team based in Walmer, Port Elizabeth.
The successful candidate will work closely with business owners, company directors, accountants, auditors, and professional advisors, providing practical legal and compliance solutions to a diverse client portfolio.

Requirements:
- LLB Degree.
- Admitted Attorney of the High Court of South Africa (or recently admitted).
- Completed Articles of Clerkship.
- Newly qualified attorney or up to 2 years post-admission experience.
- Exposure to company secretarial work, commercial law, estate administration, or corporate compliance will be advantageous.
- Experience interacting with CIPC, the Master’s Office, and SARS will be beneficial.
Sound understanding of:
- Companies Act, 71 of 2008.
- Corporate governance principles.
- Commercial and contract law.
- Estate administration procedures.
- Trust and fiduciary structures.
- Knowledge of CIPC filing procedures and compliance requirements.
- Strong drafting and legal research skills.
- Proficiency in Microsoft Office Suite.
Key Responsibilities
Company Secretarial and Corporate Governance Services
- Facilitate the incorporation and registration of private companies, non-profit companies, trusts, and other legal entities.
- Prepare and submit all required statutory documentation with the Companies and Intellectual Property Commission (CIPC).
- Manage amendments to company records, including:
- Appointment and resignation of directors.
- Changes to shareholders and shareholding structures.
- Share allotments, transfers, and buy-backs.
- Amendments to Memoranda of Incorporation (MOIs).
- Changes to registered addresses and company information.
- Maintain statutory registers and company records in compliance with the Companies Act.
- Assist clients with corporate governance requirements and best practices.
- Draft and prepare board resolutions, shareholder resolutions, and meeting minutes.
- Monitor compliance deadlines and ensure adherence to statutory obligations.
Commercial and Corporate Legal Advisory
- Provide legal support on a range of corporate and commercial matters.
- Draft, review, and advise on commercial agreements and legal documentation.
- Prepare and implement restructuring transactions and corporate reorganizations.
- Draft and advise on:
- Section 42 Asset-for-Share transactions.
- Shareholder agreements.
- Sale of business agreements.
- Share sale agreements.
- Loan agreements.
- Service level agreements and other commercial contracts.
- Conduct legal research and provide practical opinions on corporate and commercial law matters.
- Liaise with external legal practitioners, regulatory authorities, and clients when required.
Statutory Compliance and Annual Returns
- Manage the preparation and filing of annual returns with CIPC.
- Ensure client entities remain compliant with relevant statutory and regulatory requirements.
- Monitor compliance calendars and advise clients of upcoming obligations.
- Assist with beneficial ownership reporting and related regulatory requirements.
- Resolve CIPC-related queries and compliance issues.
- Maintain accurate compliance records and documentation for all client entities.
Deceased Estate Administration
- Assist in the administration of deceased estates from inception to finalisation.
- Prepare and lodge estate documentation with the Master of the High Court.
- Draft and submit:
- Death notices.
- Inventory forms.
- Liquidation and Distribution Accounts.
- Estate advertisements and notices.
- Various supporting affidavits and applications.
- Correspond with heirs, beneficiaries, financial institutions, SARS, and the Master’s Office.
- Assist with estate planning matters and related advisory services.
- Ensure compliance with all statutory requirements governing estate administration.
Client Relationship Management
- Build and maintain strong relationships with clients and professional stakeholders.
- Provide clear, practical, and commercially focused legal advice.
- Deliver high-quality service in a professional and timely manner.
- Identify opportunities to expand service offerings and support business development initiatives.
