About the Role
Placement Point is seeking a highly skilled and experienced Company Secretarial Manager to join their team in Sandton. As a key member of the company, you will provide guidance to directors on their duties, responsibilities, and powers, ensuring compliance with relevant laws and regulations.
Key Responsibilities
- Providing guidance to directors collectively and individually on their duties, responsibilities, and powers
- Reporting to the board any failure by the company or a director to comply with the Memorandum of Incorporation, rules of the company, or the Act
- Ensuring that minutes of all shareholders’ meetings, board meetings, and committee meetings are properly recorded in accordance with the Act
- Certifying in the annual financial statements whether the company has filed required returns and notices in terms of the Act
- Sending a copy of the annual financial statements to every person entitled to it, as per the Act
- Managing all work related to CIPC, MOI, administration of section 42
- Overseeing the secretarial department of 4 employees
Requirements
- Matric (Grade 12)
- Must come from an audit firm
- Computer Literacy: MS Office (Outlook, Excel)
